These Terms of Service ("Terms") are an agreement between Aasure Company Private Limited ("Aasure", "we", "us" or "our") and the business that creates an Aasure account ("you" or "your"). They govern your use of the Aasure platform, studio app, booking pages, hosted websites, integrations and related services (together, "the Service").
By creating an account or using the Service, you agree to these Terms. If you accept them on behalf of a business, you confirm that you have authority to bind that business. If you do not agree, do not use the Service.
People who book with a business through Aasure are covered by our separate Booking Terms, not by these Terms.
1.Who we are
Aasure Company Private Limited is a company incorporated in India (CIN U62010HR2026PTC143405), with its registered office at HN 683-3, Thanesar, Sector 3 U E KKR, Thanesar, Kurukshetra 136118, Haryana, India. You can reach us at contact@aasure.app.
2.Definitions
- "Clients" means your customers and prospective customers whose data you manage in the Service.
- "Your Content" means everything you or your team upload, enter or create in the Service, including Client data, files, website pages and emails.
- "Team members" means the people you invite to use your account.
- "Connected Services" means third-party services you connect to Aasure, such as a Microsoft Outlook calendar.
3.The Service
Aasure provides software for service businesses to manage bookings, staff schedules, clients, records of payments, email marketing, websites and related operations, including an AI assistant. Every plan includes every feature; plans differ only in the number of staff seats. We improve the Service continually and may add, change or remove features. If we remove a feature that is material to your paid plan, we will tell you in advance.
4.Eligibility and accounts
- You must be at least 18 years old and use the Service for business purposes.
- You must give accurate account information and keep it up to date.
- You are responsible for your Team members, for what happens under your account, and for keeping sign-in details secure. Tell us promptly at contact@aasure.app if you suspect unauthorised access.
- You must not create an account for someone else without their permission, or impersonate anyone.
5.Free trial
Every new account starts with a 30-day free trial. No payment method or setup fee is required to start. We do not charge you during the trial, and we will not charge you afterwards unless you choose a paid plan and add a payment method. We may change or end trial offers for new accounts at any time; this does not affect a trial already running.
Launch offer. The first 200 businesses to create an account get a 60-day free trial instead of 30 days. Places go in the order accounts are created. Once the 200 places are taken, new accounts get the standard 30-day trial. The rest of this section applies to both.
If your trial ends without a paid subscription, your account becomes read-only: you can still view and export your data, but you cannot make changes until you subscribe.
6.Subscriptions, billing and taxes
Paid plans are billed in advance on a recurring basis (for example monthly) until you cancel. Current plans and prices are shown on our pricing page and at checkout; the price you agree at checkout applies to your subscription.
Payments are processed by our reseller and merchant of record, Polar (polar.sh), which also handles sales tax and VAT where applicable. Polar's terms apply to the payment itself.
We may change our prices by giving you at least 30 days' notice before the change applies to your subscription. If you do not agree, you can cancel before the new price takes effect.
7.Cancellation and refunds
You can cancel at any time in your account's billing settings. Cancellation takes effect at the end of the current billing period and you keep access until then.
Because every account gets a free trial to evaluate the Service, fees are non-refundable, including for partial periods, except where the law requires a refund.
8.Your responsibilities for Client data
For personal data about your Clients, you are the data controller and Aasure is your data processor. Our Data Processing Agreement forms part of these Terms and applies to that data. You are responsible for:
- having a lawful basis, and any notices and consents the law requires, to collect Client data and put it into Aasure;
- getting valid consent before sending marketing emails or other marketing messages, honouring unsubscribes, and complying with marketing laws in your Clients' countries;
- publishing your own privacy notice to your Clients and responding to their requests about their data (we will help as described in the DPA);
- not storing medical records or other health information in Aasure, as described in our Acceptable Use Policy.
9.Connected Services
When you connect a service such as a Microsoft Outlook calendar, you authorise us to access it on your behalf as described in our Privacy Policy, and to act on your instructions, for example to add a booking to your calendar.
- You must follow the terms and policies of each Connected Service. Content you publish through Aasure is your content and your responsibility.
- Connected Services are run by third parties, not by us. They can change or withdraw access to their platforms at any time, and we are not responsible for their availability, for their actions, or for features that stop working because of their changes.
- You can disconnect a Connected Service at any time. We then delete the stored access credentials.
10.Payments you take from Clients
Aasure does not process payments from your Clients. You take payment outside the Service, and any payment you record in Aasure is a record only. Aasure is not a party to those payments. You are responsible for your prices, cancellation and no-show policies, refunds, chargebacks, disputes and taxes on payments from your Clients.
11.AI features
The Service includes an AI assistant and other AI features that can draft content and, when you ask or allow it, take actions in your account. By using them, you agree that:
- AI output can be inaccurate or incomplete. You should review it before relying on it or publishing it, and it is not professional, legal, financial or medical advice.
- You remain responsible for actions taken in your account, including those you ask the assistant to take.
- We do not use Your Content to train AI models. AI providers process data only to generate responses, as described in our Privacy Policy.
12.Your Content
You own Your Content. You give Aasure a limited, non-exclusive, worldwide, royalty-free licence to host, copy, process, transmit and display Your Content only as needed to provide, secure and support the Service for you, and to publish it where you tell us to, such as your booking page or website.
You confirm you have the rights and permissions needed for Your Content, including images and the personal data of your Clients and Team members.
We may create aggregated or de-identified statistics about use of the Service that do not identify you, your Clients or any individual, and use them to operate and improve the Service.
You can get a copy of your data at any time while your account is active, from the Service or by asking us.
13.Acceptable use
You must follow our Acceptable Use Policy, which forms part of these Terms. It prohibits, among other things, spam, unlawful or harmful content, storing health records, misusing Connected Services, and attempts to break or overload the Service.
14.Our intellectual property
The Service, including its software, design, templates and trade marks, belongs to Aasure and our licensors. These Terms give you the right to use the Service during your subscription and nothing more. You must not copy, resell, reverse engineer or build a competing product from the Service, except where the law allows it. If you send us feedback, we may use it without any obligation to you.
15.Confidentiality
Each of us will keep the other's non-public business information confidential, use it only for the purposes of these Terms, and protect it with reasonable care. This does not apply to information that is public through no fault of the recipient, already known to it, independently developed, or that must be disclosed by law.
16.Availability and support
We work to keep the Service available and secure, but we do not promise it will be uninterrupted or error-free. We may carry out maintenance, which we try to schedule at quiet times and announce in advance where practical. Support is available by email at contact@aasure.app.
17.Suspension and termination
You can ask us to delete your business at any time, and delete your personal user account in your account settings, as described on our Data Deletion page. We may suspend or end your access if you seriously or repeatedly breach these Terms, fail to pay, create a risk to the Service or to others, or if the law requires it. Where reasonable, we will give you notice and a chance to fix the problem first.
After your business is deleted, its data is kept for 30 days and then permanently deleted, as described in our Privacy Policy and Data Deletion page. Export or copy anything you want to keep before asking us to delete it.
Sections that by their nature should continue after termination will continue, including those on payment, confidentiality, intellectual property, disclaimers, liability, indemnity and governing law.
18.Disclaimers
TO THE EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", AND WE DISCLAIM ALL WARRANTIES NOT EXPRESSLY STATED IN THESE TERMS, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
19.Limitation of liability
TO THE EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL LOSS, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL OR DATA, ARISING FROM THESE TERMS OR THE SERVICE.
TO THE EXTENT PERMITTED BY LAW, AASURE'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO AASURE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, AND (B) INR 10,000.
Nothing in these Terms limits liability for fraud, for death or personal injury caused by negligence, for your payment obligations, or for any other liability that cannot be limited by law.
20.Indemnity
You will defend and compensate Aasure against third-party claims, and the resulting losses and reasonable legal costs, that arise from Your Content, your use of Client data, your marketing messages, your use of Connected Services, or your breach of these Terms or of the law.
21.Events beyond our control
Neither party is responsible for delays or failures caused by events beyond its reasonable control, such as natural disasters, war, government action, internet or power failures, cyberattacks, or outages of hosting providers or Connected Services. This does not excuse payment obligations.
22.Changes to these Terms
We may update these Terms. For significant changes we will give you at least 30 days' notice by email or in the app before they take effect. If you do not agree, you can cancel before then. Continuing to use the Service after the change takes effect means you accept the updated Terms.
23.Governing law and disputes
These Terms are governed by the laws of India. Before starting any legal proceedings, each party will first try in good faith to resolve the dispute by contacting the other and allowing 30 days to settle it. Subject to that, the courts at Kurukshetra, Haryana, India have exclusive jurisdiction over any dispute arising from or relating to these Terms or the Service.
24.General
- Entire agreement. These Terms, together with the Privacy Policy, the Acceptable Use Policy and the Data Processing Agreement, are the whole agreement between us about the Service.
- Assignment. You may not transfer these Terms without our consent. We may transfer them to an affiliate or to a successor in a merger or acquisition.
- Severability and waiver. If a provision is found unenforceable, the rest remain in force. Not enforcing a provision is not a waiver of it.
- Notices. We send notices to your account email address. You send notices to contact@aasure.app.
- Electronic record. These Terms are an electronic record under the Information Technology Act, 2000 and do not require a physical or digital signature.
- Independent parties. We are independent contractors; these Terms create no partnership, agency or employment relationship.
